PREAMBLE AND BINDING LEGAL AGREEMENT

ANSAR TECHNOLOGIES SDN. BHD. (hereinafter referred to as "the Company", "Ansar Technologies", "we", "us", or "our") is an integrated multi-disciplinary engineering contractor, technological solutions provider, and corporate procurement enterprise incorporated under the laws of Malaysia, with its corporate registered address and primary operational staging hubs situated in Seri Kembangan, Selangor. Ansar Technologies operates across specialized engineering disciplines, including Civil and Structural Infrastructure, Mechanical and Electrical (M&E) Engineering, Information and Communications Technology (ICT) Networks, Project Management and Engineering Consultancy, alongside the commercial procurement and distribution of engineering equipment, hardware, and digital tender assets.

These General Terms of Service and Conditions of Business ("Terms" or "Agreement") constitute a legally binding agreement between you (whether acting individually as a natural person, or as an authorized director, officer, partner, employee, or agent representing a corporate entity, governmental agency, or commercial enterprise, hereinafter referred to as "User", "Client", "Buyer", or "you") and Ansar Technologies. This Agreement governs your access to, browsing of, and interaction with our official website located at https://www.ansartechnologies.my (the "Platform" or "Website"), your engagement with our professional engineering and project management consultancy services, your registration on our procurement and tender facilities, your execution of financial transactions via our authorized payment gateway partner CHIP (chip-in.asia), and your fulfillment engagements under our Dual Fulfillment Model comprising online dispatches integrated with EasyParcel Integration and mandatory scheduled Offline Self-Collection.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY AND IN THEIR ENTIRETY BEFORE BROWSING THIS PLATFORM, REGISTERING AN ACCOUNT, PURCHASING DIGITAL TENDER MATERIALS, ORDERING HARDWARE, PAYING INVOICES, OR COMMENCING ANY ENGINEERING WORKS. BY ENTERING, BROWSING, CREATING AN ACCOUNT, OR INITIATING ANY PAYMENT OR ORDER ON THIS WEBSITE, YOU UNCONDITIONALLY ACKNOWLEDGE, WARRANT, AND AGREE THAT YOU HAVE READ, UNDERSTOOD, AND COVENANTED TO BE LEGALLY BOUND BY ALL CLAUSES, STIPULATIONS, INDEMNITIES, AND RESTRICTIONS ENUMERATED HEREIN, TOGETHER WITH OUR PRIVACY POLICY, REFUND POLICY, AND SHIPPING & RETURN POLICY WHICH ARE HEREBY EXPRESSLY INCORPORATED BY REFERENCE.

1. DEFINITIONS AND STATUTORY INTERPRETATION

In these Terms, unless the context otherwise demands or explicitly stipulates to the contrary, the following defined words and expressions shall bear the respective legal interpretations:

1.1 "Platform" or "Website" means the digital infrastructure, web portals, sub-domains, procurement interfaces, source code, visual elements, and electronic services hosted and operated by Ansar Technologies at https://www.ansartechnologies.my.

1.2 "Services" means all professional, technical, contracting, and advisory services provided by Ansar Technologies, including but not limited to civil engineering design, structural works, earthworks, mechanical and electrical engineering installations, ELV systems, fire protection systems, HVAC networks, structured cabling, optical fiber deployment, IT datacenter staging, CCTV surveillance integration, project management, and quantity surveying consultancy.

1.3 "Products" or "Goods" refers to physical engineering materials, cabling, server racks, electrical switchboards, networking hardware, test equipment, spare parts, and tools supplied, delivered, or collected under transactions executed through this Platform or formal commercial contracts.

1.4 "Tender Documents" means proprietary electronic or printed Request for Proposals (RFP), Request for Quotations (RFQ), Bills of Quantities (BQ), engineering blueprints, technical compliance schedules, and bidding documentation published or sold by Ansar Technologies.

1.5 "Payment Gateway" refers to CHIP (chip-in.asia), the licensed payment acquisition, switching, and digital clearing gateway operating under Bank Negara Malaysia regulatory standards that facilitates FPX direct banking, credit card, and debit card transactions on the Platform.

1.6 "EasyParcel Integration" means the automated multi-carrier application programming interface (API) and logistics management software embedded into our operations that books, manages, manifests, and tracks courier dispatches across Malaysia.

1.7 "Offline Self-Collection" means the physical pickup fulfillment mechanism whereby the Buyer is contractually mandated to collect purchased goods from our designated staging yard, warehouse, or regional engineering depot following post-purchase notification of date, time, and location.

1.8 "Formal Commercial Contract" means any formal Letter of Award (LOA), Purchase Order (PO), Sub-Contract Agreement, PAM Contract, CIDB Standard Form of Contract, or Engineering Procurement Construction (EPC) agreement mutually signed between Ansar Technologies and the Client.

1.9 "Certificate of Practical Completion (CPC)" or "Interim Payment Certificate (IPC)" refers to formal engineering instruments certifying that specific construction, electrical, or technological milestones have been inspected, tested, commissioned, and accepted.

1.10 "Delivery Order (DO)" means the official delivery documentation accompanying consignments or generated at our depot counters confirming physical handover and acceptance of goods.

2. LEGAL CAPACITY, CORPORATE AUTHORITY, AND REPRESENTATIONS

2.1 Age of Majority: By accessing this Platform or concluding transactions with Ansar Technologies, you unequivocally warrant that you are a natural person of at least eighteen (18) years of age, possessing full legal capacity to enter into binding, enforceable contracts under the Contracts Act 1950 (Act 136) of Malaysia.

2.2 Corporate Authority: If you access this Platform or enter into transactions on behalf of a corporation, partnership, joint venture, statutory body, or government ministry:

2.3 Statutory Declarations: The User warrants that all information, business registration numbers (SSM), tax identification numbers (TIN), addresses, and credentials submitted through the Platform are authentic, true, complete, and legally accurate.

• You explicitly represent and warrant that you hold actual corporate power, valid board authorization, or an active Power of Attorney to bind such corporate or public entity to these Terms.
• You warrant that entering into this Agreement does not contravene the entity’s constitution, memorandum and articles of association, or any pre-existing contractual covenants.
• In the event that you act without proper corporate authority, you agree that you shall be held personally, jointly, and severally liable for all financial liabilities, invoices, claims, and damages arising out of the transaction.

3. USER ACCOUNTS, PASSWORDS, AND PORTAL SECURITY

3.1 Account Creation: Certain functionalities on our Platform—including the procurement portal, digital tender purchasing, sub-contractor registration, and quotation generation—may mandate the creation of a password-protected user profile ("User Account").

You covenant to immediately notify Ansar Technologies in writing at support@ansartechnologies.my upon discovering or suspecting any unauthorized access, security breach, credential theft, or unauthorized utilization of your User Account.

3.4 Suspension and Termination of Accounts:

Ansar Technologies reserves the unreserved legal right to suspend, freeze, disable, or terminate any User Account, at our sole discretion, without prior notice or financial liability, where:

• The User is exclusively responsible for preserving the confidentiality of account usernames, administrative passwords, two-factor authentication keys, and API tokens.
• You accept full legal responsibility for any and all activities, bids, procurement submissions, and payments executed through your User Account, whether authorized by you or resulting from your failure to safeguard your security credentials.
• We suspect fraudulent, unlawful, or collusive activities regarding tender exercises.
• False, forged, or misleading corporate identity documentation is submitted.
• Invoices, gateway charges, or milestone settlements remain unpaid past their statutory due dates.
• A User attempts to breach website code, perform unauthorized data scraping, or flood system APIs.

4. SCOPE OF PROFESSIONAL ENGINEERING AND CONSULTANCY SERVICES

Where Ansar Technologies and a Client formally execute a customized physical contract (such as a standard PAM form, JKR form, CIDB sub-contract, or bespoke Engineering, Procurement, and Construction agreement):

4.4 Variations, Site Conditions, and Progress Certification:

• Civil Engineering: Earthworks, foundations, structural concrete works, road infrastructure, drainage systems, water reticulation, and building construction.
• Mechanical & Electrical (M&E): Power distribution stations, generator set installations, main switchboards, low-voltage cabling, building automation systems (BAS), HVAC ventilation networks, and certified fire protection suppression systems.
• ICT Infrastructure: High-density structured cabling, optical fiber splicing, enterprise data networking, datacenter containment racks, IP CCTV surveillance arrays, and biometric access control installations.
• Project Management & Consultancy: Bill of Quantities (BQ) compilation, tender preparation, site superintendence, statutory authority filings (CIDB, ST, SPAN, Local Authorities), and cost audit controls.
• Quotations, estimates, and fee proposals generated via our Platform or issued by our project estimators represent invitations to treat (invitatio ad offerendum) and are valid for a duration of thirty (30) calendar days from issuance, unless an alternate validity period is expressly stated in writing.
• Ansar Technologies reserves the right to adjust, amend, or withdraw quotations prior to formal mutual execution if site conditions, commodity metal indices (e.g., copper, steel), exchange rates, or scope requirements alter materially.
• The specific clauses, terms, conditions, payment mechanisms, and dispute protocols of that formal executed contract shall supersede and govern over these website Terms of Service to the extent of any direct, irreconcilable conflict.
• These Terms of Service shall continue to serve as a supplementary governing framework regarding website utilization, online procurement, and digital payment gateway clearance.
• Any engineering scope modifications, architectural revisions, site variations, or unforeseen subsurface conditions encountered during construction works shall be documented via formal written Variation Orders (VO), valued in accordance with contractual rate schedules.
• Progress claims and interim valuations shall be verified and endorsed through standard Interim Payment Certificates (IPC) or formal delivery documentation. Dispute adjudications for engineering and building works are subject to the Construction Industry Payment and Adjudication Act 2012 (CIPAA).

5. PROCUREMENT PORTAL, TENDER DOCUMENTS, AND INTELLECTUAL ASSETS

Bidders and tenderers accessing our procurement portal agree to maintain strict commercial confidentiality concerning all technical drawings, material specifications, and pricing metrics obtained through the Platform. You shall not disclose, duplicate, reverse-engineer, or share tender designs with third-party competitors without our prior express written permission.

• Ansar Technologies publishes and distributes proprietary tender documentation, Requests for Proposals (RFP), and bidding questionnaires across our digital procurement portal.
• The purchase and download of any Tender Document requires immediate payment clearance through our Payment Gateway (CHIP).
• In accordance with our Commercial Refund Policy, all fees remitted for the acquisition of digital Tender Documents, RFQs, and vendor pre-qualification packages are strictly and irrevocably non-refundable.
• Rationale: The delivery of tender files constitutes an immediate, irreversible disclosure of proprietary engineering concepts, confidential Bill of Quantities schedules, and intellectual property.
• The purchase, download, or submission of a tender proposal confers no guarantee, promise, or representation whatsoever that the bidder will be awarded the contract, shortlisted, or selected as an approved vendor.
• Ansar Technologies reserves absolute corporate discretion to accept, reject, disqualify, cancel, or annul any tender bid or procurement exercise at any time without incurring liability to tenderers, and is under no legal obligation to disclose the evaluation criteria or reasons for disqualification.

6. COMMERCIAL SALES AND DUAL FULFILLMENT MODALITIES

Purchases of physical engineering products, ICT components, and materials via the Platform are fulfilled exclusively under our Dual Fulfillment Model, as set out in detail in our Shipping, Delivery, Collection and Return Policy:

7. PRICING, INVOICING, TAXES, AND PAYMENT GATEWAY (CHIP)

7.1 Currency and Pricing Structure:

• All prices, fees, milestone claims, and procurement charges displayed on the Platform are denominated in Ringgit Malaysia (MYR).
• Prices are exclusive of prevailing Malaysian Sales and Service Tax (SST), digital service levies, customs duties, import tariffs, and logistics freight fees unless expressly stipulated on the official quotation or tax invoice.
• All online credit card, debit card, and FPX direct bank transfers are cleared through our licensed third-party payment gateway partner CHIP (chip-in.asia).
• By initiating an online payment, you authorize CHIP to acquire, process, and clear the transaction on behalf of Ansar Technologies.
• Security & Non-Storage of Card Data: Ansar Technologies complies with stringent data protection standards and does NOT capture, view, or retain complete payment card details, PANs, or CVV security codes on its servers. All payment data is tokenized and transmitted under TLS encryption through CHIP’s PCI-DSS compliant infrastructure.
• Commercial invoices issued for engineering milestones or equipment supplies must be settled within the credit term specified on the invoice (typically 14 to 30 days).
• If a Client fails to pay any sum due by the prescribed due date:
• Ansar Technologies reserves the statutory right to levy interest on the unpaid balance at the rate of eight percent (8%) per annum, calculated on a daily basis from the due date until full, cleared payment is received.
• The Company may, upon providing seven (7) days written notice, suspend ongoing engineering services, site mobilization, software licenses, or logistics dispatches until all arrears and accrued interest are settled.

8. CANCELLATION, REFUNDS, AND CHARGEBACK DISCIPLINE

8.1 Strict Enforcement of Refund Policy:

All financial adjustments, cancellations, and refund applications are evaluated strictly under the rules set out in our Commercial Refund, Cancellation, and Fulfillment Settlement Policy. Change-of-mind cancellations are impermissible once engineering man-hours have been incurred, customized components ordered, or courier handovers initiated.

8.2 Prohibition of Fraudulent Chargebacks:

• The Buyer covenants not to file malicious, unverified, or bad-faith chargebacks with credit card issuers, acquiring banks, or financial institutions without first completing the formal internal dispute process with Ansar Technologies.
• In the event of a chargeback dispute raised through CHIP:
• Ansar Technologies will present full evidentiary logs, including EasyParcel delivery confirmations, signed physical Delivery Orders, Collection Schedule Notices, and digital audit trails.
• If a chargeback is adjudicated as unjustified, the Buyer shall fully indemnify Ansar Technologies for all dispute fees, administrative costs, legal fees, and statutory interest on withheld funds.

9. INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS

9.1 Ownership of Intellectual Assets:

All content, visual interfaces, website code, graphical elements, logos, registered trademarks, structural blueprints, CAD schematics, engineering designs, algorithms, BQ spreadsheets, and documentation hosted on https://www.ansartechnologies.my are the exclusive intellectual property of ANSAR TECHNOLOGIES SDN. BHD. or its licensors, protected under the Copyright Act 1987 (Act 332), the Trademarks Act 2019 (Act 815), and international intellectual property treaties.

9.2 Limited, Revocable License:

Subject to compliance with these Terms, Ansar Technologies grants you a personal, limited, non-exclusive, non-transferable, revocable license to access, view, and print content from the Platform strictly for internal commercial evaluation, tender bidding, or project collaboration.

9.3 Prohibited Acts:

You shall not, under any circumstances:

• Reproduce, duplicate, republish, distribute, sell, or rent any Platform content or tender documentation without express written consent.
• Decompile, reverse engineer, disassemble, or derive source code from any digital modules or pricing calculators on the Platform.
• Remove, obscure, or alter any copyright notices, trademark symbols, watermarks, or proprietary legends appearing on engineering drawings or documentation.

10. ACCEPTABLE USE AND PLATFORM INTEGRITY

10.1 You agree to use the Platform only for lawful commercial purposes in compliance with all applicable Malaysian and international laws.

10.2 Unlawful Actions Prohibited:

You expressly agree and covenant that you shall not:

• Deploy automated scrapers, data-mining crawlers, bots, or extraction scripts against the Platform.
• Introduce computer viruses, Trojan horses, worms, logic bombs, ransomware, or other technologically malicious materials into our systems.
• Attempt unauthorized access to the Platform, server infrastructure, accounts, or databases connected to Ansar Technologies.
• Execute Denial-of-Service (DoS) or Distributed Denial-of-Service (DDoS) attacks against our web domains.
• Utilize the Platform to submit fraudulent quotation requests, deceptive procurement filings, or defamatory material.

11. WARRANTIES, DISCLAIMERS, AND STATUTORY LIMITATION OF LIABILITY

11.1 Platform Disclaimer ("As Is" and "As Available"):

The Platform, its contents, digital tools, and informational schedules are provided on an "AS IS" and "AS AVAILABLE" basis without representations or warranties of any kind, whether express, statutory, or implied. Ansar Technologies does not warrant that the website will operate uninterrupted, error-free, or entirely secure from cyber anomalies.

11.2 Professional Engineering Warranties:

11.3 Cap on Financial Liability:

To the maximum extent permissible under Malaysian law, the total, cumulative, aggregated financial liability of Ansar Technologies, its directors, engineers, officers, and agents for all claims, liabilities, damages, or breaches arising out of or related to these Terms, the Platform, delivery logistics, or services—whether grounded in contract, tort (including negligence), misrepresentation, restitution, or statutory breach—shall be strictly limited to the actual net monetary amount paid by the Client to Ansar Technologies for the specific service order or equipment component directly giving rise to the claim.

11.4 Exclusion of Consequential Losses:

Under no legal doctrine shall Ansar Technologies be held liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including:

• Physical engineering components and equipment are accompanied exclusively by their original manufacturer warranties. Ansar Technologies passes through all manufacturer warranties to the Buyer.
• On-site engineering, structural, and M&E installation works are warranted against defects in workmanship for the contractual Defect Liability Period (DLP) specifically stated in the formal commercial contract, commencing from the issuance of the Certificate of Practical Completion (CPC).
• Loss of commercial revenue, anticipated profits, or business opportunity.
• Construction site downtime, crane standby penalties, or plant rental expenses.
• Liquidated Ascertained Damages (LAD) levied by main contractors or project owners.
• Data corruption, business interruption, or loss of goodwill.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ANSAR TECHNOLOGIES SDN. BHD., its parent entities, subsidiaries, affiliates, directors, officers, licensed engineers, employees, and subcontractors from and against any and all third-party claims, liabilities, lawsuits, damages, losses, fines, settlements, and expenses (including legal costs on a full solicitor-client indemnity basis) arising out of or directly related to:

1. Your breach or violation of any clause or warranty within these Terms of Service.

2. Your misuse of the Platform, tender files, engineering blueprints, or equipment.

3. Your negligent acts, reckless misconduct, or health and safety violations while attending our staging facilities or operational sites during Offline Self-Collection.

4. Any infringement of third-party intellectual property or privacy rights resulting from materials you submit to our procurement portal.

13. OCCUPATIONAL SAFETY AND SITE CLEARANCE PROTOCOLS

13.1 Compliance with Safety Enactments:

In performing site engineering works, testing and commissioning, or facilitating depot collections, Ansar Technologies adheres strictly to the Occupational Safety and Health Act 1994 (Act 514 - OSHA), the Factories and Machinery Act 1967, and CIDB construction regulations.

13.2 Site Access Clearance:

All Client representatives, transport haulers, and visitors entering our operational depots, project staging yards, or active construction work fronts must:

• Possess valid national identification and, where required on active sites, valid CIDB Green Cards.
• Don mandatory Personal Protective Equipment (PPE), including safety helmets, high-visibility vests, and steel-toe protective footwear.
• Comply with yard marshal directions, signage, and loading boundaries. Ansar Technologies reserves the right to immediately expel non-compliant individuals from the premises without liability.

14. DATA PROTECTION AND PRIVACY COMPLIANCE

14.1 All personal data, business contact information, and representative identity documentation collected through this Platform or during contract administration are processed in strict compliance with the Personal Data Protection Act 2010 (Act 709 - PDPA).

14.2 For comprehensive details regarding how we collect, store, secure, process, and disclose your personal data, alongside procedures for exercising your statutory rights under the PDPA, please consult our official Privacy Policy published at https://www.ansartechnologies.my/privacy-policy.

15. FORCE MAJEURE

15.1 Neither party shall be held legally liable or considered in contractual default for any failure or delay in the performance of obligations (excluding payment obligations for cleared works or delivered goods) resulting from causes beyond reasonable commercial control ("Force Majeure").

15.2 Force Majeure includes, without limitation: Acts of God, severe floods, tropical monsoons, landslides, earthquakes, lightning strikes, catastrophic fires, declared epidemics or pandemics, governmental emergency decrees, regional power grid blackouts, nationwide internet backbone severances, armed conflicts, riots, industrial strikes, transport blockades, or customs import embargoes.

15.3 In such events, affected performance schedules, EasyParcel transit times, and scheduled Offline Self-Collection dates shall be extended automatically for the duration of the Force Majeure occurrence. If the condition continues uninterrupted for more than sixty (60) calendar days, either party may terminate the affected order upon written notice.

16. AMENDMENTS AND MODIFICATIONS TO TERMS

16.1 Ansar Technologies reserves the absolute right to revise, modify, amend, update, or supplement these Terms of Service at any time to accommodate statutory amendments, regulatory developments, technological enhancements, or organizational restructuring.

16.2 Revised versions of these Terms will be published immediately on the Platform with the updated effective date prominently displayed in the "Last Updated & Effective Date" legend at the top of this document.

16.3 Your continued browsing of the Platform, execution of procurement orders, or engagement of our services after such modifications are posted constitutes your full, conclusive, and legally binding acceptance of the amended Terms. You are advised to review this page periodically.

17. SEVERABILITY, NON-WAIVER, AND ENTIRE AGREEMENT

17.1 Severability:

If any provision, clause, or paragraph of these Terms is determined by an arbitral body or court of competent jurisdiction to be invalid, illegal, or unenforceable, such determination shall not affect, impair, or invalidate the remaining provisions of this Agreement, which shall remain in full force and effect.

17.2 Non-Waiver:

No failure, delay, or forbearance by Ansar Technologies in exercising any right, power, or legal remedy under these Terms shall operate as a waiver thereof, nor shall any partial exercise preclude any other or further exercise of legal rights.

17.3 Entire Agreement:

These Terms, alongside the Privacy Policy, Refund Policy, Shipping & Return Policy, and any formally executed commercial agreements, constitute the entire, definitive agreement between you and Ansar Technologies regarding the subject matter hereof, superseding all prior oral understandings, electronic correspondences, or draft proposals.

18. GOVERNING LAW AND DISPUTE RESOLUTION

18.1 Governing Law:

These Terms of Service, their validity, construction, performance, and all non-contractual obligations arising out of or connected with them shall be governed exclusively by, and construed in accordance with, the laws of Malaysia.

18.2 Dispute Resolution Framework:

• Amicable Negotiation: In the event of any dispute, claim, controversy, or divergence of interpretation arising between the parties, senior management representatives of each party shall first meet in good faith within fourteen (14) business days of written notice to negotiate an amicable resolution.
• Exclusive Court Jurisdiction: If the dispute cannot be resolved amicably within thirty (30) business days following written notice, the dispute shall be submitted to the exclusive jurisdiction of the competent Courts of Malaysia, with legal proceedings initiated in the courts of Kuala Lumpur or the State of Selangor.

19. LANGUAGE AND PREVALENCE

These Terms of Service are drafted, executed, and legally promulgated in the English language. In the event that this Agreement is translated into Bahasa Malaysia or any other language, and should any ambiguity, conflict, discrepancy, or divergence in interpretation emerge between the English text and any translated rendition, the English version shall govern, control, and prevail in all respects to the maximum extent permissible under applicable law.
